Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Project Journal web application and Chrome extension (collectively, the "Service") provided by Greyfeathers Studios ("Company", "we", "us", or "our"), a company incorporated in India.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Service immediately. These Terms constitute a legally binding agreement under the Indian Contract Act, 1872 and the Information Technology Act, 2000.

1. Eligibility

• You must be at least 18 years of age to use the Service.
• By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract under Indian law.
• If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

Project Journal is a collaborative project-tracking tool that allows teams to:

• Create and manage projects with journal entries, images, and notes.
• Invite collaborators to view and contribute to shared projects.
• Use AI-powered features including image OCR, semantic search, and project insights.
• Capture and submit content from the web via the Chrome extension.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable.

3. Account Registration

• You must provide a valid email address and create a secure password to register an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must notify us immediately at support@greyfeathers.io if you suspect any unauthorised use of your account.
• You may not create accounts using automated means or under a false identity.
• One person may not maintain more than one free account.

4. Acceptable Use

You agree not to use the Service to:

• Upload, post, or share content that is unlawful, defamatory, obscene, pornographic, invasive of another's privacy, hateful, or otherwise objectionable under Indian law.
• Infringe any intellectual property rights, including copyrights, trademarks, or trade secrets of any third party.
• Upload content that contains malware, viruses, or any other malicious code.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our infrastructure.
• Use automated scripts, bots, or scrapers to access the Service in a manner that could overload or damage our systems.
• Violate any applicable law or regulation, including those related to data privacy, intellectual property, or financial crime.
• Harass, abuse, or harm another person or entity.
• Misrepresent your identity or affiliation with any person or organisation.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. User Content

You retain ownership of all content you create and upload to the Service ("User Content"). By uploading User Content, you grant Greyfeathers Studios a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content solely for the purpose of providing the Service to you and your collaborators.

• You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
• You represent and warrant that you have all necessary rights and permissions to upload and share your User Content.
• We do not use your User Content to train AI or machine learning models, and we do not claim ownership of it.
• We may remove User Content that violates these Terms or applicable law.

6. Chrome Extension

• The Project Journal Chrome extension requires installation from the Chrome Web Store and is subject to Google's terms in addition to these Terms.
• The extension only accesses webpage content when you explicitly initiate a capture or entry submission. It does not operate in the background or collect browsing history.
• You are responsible for ensuring that the content you capture via the extension does not violate the intellectual property rights or terms of service of the originating website.

7. AI Features

• AI-powered features (search, summaries, OCR, insights) are provided on an "as-is" basis. Results may be inaccurate or incomplete.
• Do not rely solely on AI-generated output for professional, legal, financial, or medical decisions.
• By using AI features, you consent to relevant text content being sent to our AI service provider (currently OpenAI) for processing, subject to their usage policies.

8. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including but not limited to software, design, logos, trademarks, and documentation, are owned by or licensed to Greyfeathers Studios and are protected under applicable Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Fees and Payment

The Service is currently offered free of charge. We reserve the right to introduce paid plans in the future. Where we do so, we will provide at least 30 days' advance notice and will not charge you without your explicit consent. Any applicable taxes (including GST) will be displayed clearly at the time of purchase.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

• We do not warrant that the Service will be uninterrupted, error-free, or free of viruses.
• We are not responsible for any loss of data due to technical failures. We recommend keeping independent backups of critical information.
• AI-generated content is not professional advice of any kind.

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Greyfeathers Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount paid by you to us in the 12 months preceding the event giving rise to the claim, or ₹1,000 (Indian Rupees One Thousand), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Greyfeathers Studios, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.

14. Termination

• You may close your account at any time by contacting us at support@greyfeathers.io.
• We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law.
• Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy and applicable law.
• Sections 5, 8, 11, 12, 13, and 15 shall survive termination of these Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be:

• First attempted to be resolved through good-faith negotiation between the parties for a period of 30 days.
• If unresolved, referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.
• The language of arbitration shall be English.
• For interim relief or injunctive orders, the parties submit to the exclusive jurisdiction of the competent courts in India.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date.

17. Miscellaneous

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Greyfeathers Studios regarding the Service.
• Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure — We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government actions, or internet outages.
